and acquisitions, corporate debt and equity finance, securities and
general business law.
Financial institutions representation focuses on ongoing corporate
representation, mergers, acquisitions, holding company formations,
securities law compliance, and executive compensation matters. Corporate
finance practice includes SEC registered public securities offerings,
private placements, asset-based financing transactions (borrower and
lender), and real estate finance.
Representation of other business clients emphasizes corporate organization,
ongoing general corporate matters, and capital formation. Active in
ongoing securities compliance for public held companies including
assistance with proxy contests, mergers and acquisitions, going private,
stock market listing, disclosure and periodic reporting obligations and SEC EDGAR filing requirements.
