Mr. Kaplan’s law practice has a dual focus on sophisticated real estate
acquisition and finance transactions, and corporate finance and securities transactions.
Many of his clients rely on him as a key strategic partner to help guide
the growth of their businesses.
Real estate practice emphasizes complex acquisition, joint venture and
finance transactions on behalf of owners, developers and real estate
equity funds. Substantial experience in the formation, syndication and
operation of private real estate equity funds and in structuring their
investments. Particular expertise in the acquisition, development, financing
and management of multi-family residential communities. Real estate
finance transactions and experience include:
Formation and syndication of real estate equity
and mezzanine loan funds
Mezzanine loans
Joint ventures, preferred equity and other structured
finance transactions
Conduit loans, including assumption and defeasance
Low-income housing tax-exempt bond financings
Portfolio recapitalizations
Avoidance and mitigation of UBTI
Formation and capitalization of captive REITs
Representation of Freddie Mac/Fannie Mae multifamily
loan borrowers
Creation and termination of, and borrowing by,
Tenancies-in-Common (TICs)
Mr. Kaplan’s clients have successfully executed over $2 billion of real estate
transactions in the last four years. Many of these are highly sophisticated
and complex transactions, involving cutting-edge issues.
Corporate and securities practice includes organization and ongoing representation
of business entities, corporate finance and mergers and acquisitions.
Experienced in private placements and public financing transactions,
including SEC registered offerings, as well as formation and operating
of hedge funds. Substantial experience in software licensing, product distribution
issues and general corporate counseling. Broad practice over many
years has provided excellent base to provide general corporate counseling.
Prior executive management experience in the financial services industry,
with expertise in the design and distribution of tax-deferred annuities and
the distribution of financial products, primarily annuities and mutual funds,
through banks and credit unions.
